TERMS AND CONDITIONS

	Atlantic Power Master Limited Conditions of Sale and Associated Services (Not applicable to export transactions). Jurisdiction: The law of Ireland and the exclusive court jurisdiction of the Irish courts will apply to this agreement. NOTE: These terms and conditions are for direct sales to APM customers. Local Distributor terms are available on application.
	1. Definitions
	"Company" means Atlantic Power Master Limited. "Customer" means the person(s) or company whose order for the Goods is accepted by the Company. "Goods" means any goods or services which the Company is to supply to the Customer.
	2. Conditions of Sale
	All orders are accepted by the Company subject to and in accordance with the following Conditions of Sale. The Company reserves the right to revise these conditions from time to time without liability.
	3. Company Prices
	Company Prices for Goods are are ex-works, quoted in € euros and exclusive of VAT. Delivery and installation charges may apply to an Order - see below. VAT may be added at the time of delivery in accordance with prevailing Irish legislation once the company is registered for VAT. The Company will apply an exchange rate for any order accepted from a non-Euro Country. The Company reserves the right to change prices without notice at any time. Prices charged will be those prevailing when an order is placed.
	4. Customer Payment
	Customer Payment is due at the order before the goods are dispatched from the Company. If the customer fails to make payment, without prejudice to any other right or remedy, the Company shall be entitled to cancel the order. Orders requiring goods to be personalised for the buyer must be paid for in full on placing the order.
	6. Orders
	An Order Confirmation will be sent to you on receipt of your order. The Company reserves the right to decline to trade with any company or person.
	7. Delivery
	A delivery charge at cost price, will apply for delivering the goods to non-local shipping addresses. The Company may use any method of delivery available to it. An estimated non-binding delivery date will be advised shortly after order placement. The Company will use best efforts to meet the estimated delivery date but in no circumstances shall it be liable to compensate the Customer for non-delivery or late delivery. Goods must be signed-for upon receipt.
	8. Inspection and Defects
	The Customer must inspect the Goods as soon as possible after delivery. The Company shall not be liable for any defect in the Goods unless written notice is given to the Company within 5 days of delivery date.
	9. Performance and fitness for purpose
	the Company accepts no liability for any failure of the Goods to obtain such figures, whether attributable to the Company's negligence or otherwise. The responsibility for ensuring that Goods are sufficient and suitable for a particular purpose is the Customer's.
	10. Cancellation Policy
	Cancellation, correction or amendment must be received within 5 working days or the details stated in the Order Confirmation will apply, therefore please carefully check the Order Confirmation. A cancellation charge of 30% of the total Order Value will apply to an Order cancelled 5 or more days after the Company's Order Confirmation date.
	11. Returns Policy
	Goods returned to the Company without prior written consent or agreement will not be accepted.
	12. Installation
	Due to the kit make-up of the goods, the customer or an approved local distributor should be capable of completing the installation. If the customer prefers the company to install the goods then a site survey will normally be required. A site survey charge, as per our current price list, will be required in this case. The installation charge will be advised shortly after the site survey has been completed.
	13. Inspection/Preventative Maintenance
	We advise inspection and preventative maintenance once a year. We also recommend an initial 3 month inspection following installation. This provides an opportunity to catch something unusual before it leads to any later problems. APM charge travel at cost price for this if the Local Distributor/Installer is not available. Should parts need to be replaced then our standard accessory parts list price will apply. The Company's product warranty document is available on request.
	14. Product Specifications
	The Company reserves the right to change product specifications without notice and without liability.

	3.12 Disclaimer The Customer uses APM products at his/her own risk and the Company shall not be held liable for any damages or injury resulting from use of APM products for any reason.
